| General Terms and Conditions 1. Imexgoods Services 1.1 Imexgoods Search Service - It is a business information service centrally managed by Lusar Comercial Importadora e Exportadora Ltda ( imexgoods.com.br ) which includes the provision of business data and information compiled and organized in a method developed by imexgoods.com.br, together with other information and services. Imexgoods Search Service provides information about products and services of third parties and may permit access to them. 1.3 Golden Goods Service - This service is for those companies which want to do some stronger marketing over a specific commercialized product. The company chooses a Harmonized System Code to represent the commercialized product category and preserve one of the 10 possibilities of outstand for your company. Every time the User types to access this Code in the result page, there will be, on the right-hand-side "the best is here", where your company or your product/service Web page will outstand. 2. License Lusar Comercial Importadora e Exportadora Ltda ( imexgoods.com.br ) grants to the User a personal, non-exclusive license to access and use Imexgoods Search Service, Golden Goods Service, as well as other services provided. The access and usage must be for internal purpouse only, according to the terms of this agreement. The User shall not assign, dispose of, sub-license or transfer its granted rights, neither allow any person ( other than, when the User is a body corporation or a business partnership, its duly authorised employees ) to use or have access to the Imexgoods Services without the prior written permission from Lusar Comercial Importadora e Exportadora Ltda or the relevant Lusar franchisee. 3. Ownership and Intellectual Property Rights 3.1. The User acknowledges that the Imexgoods Service data forms a valuable body of information and that the copyright, trade mark and all other intellectual property rights in or relating to Imexgoods Service and its data are and shall remain the property of Lusar Comercial Importadora e Exportadora Ltda or its franchisees as the case may be or, in the case of third party content, its licensors. The User shall not alter or remove any copyright symbol or any other identification or information concerning the authorship or ownership of any of the Imexgoods Data Base. 3.2.The User shall not copy ( other than incidentally in the process of viewing ), market, resell, distribute, retransmit, publish, carry on any Imexgoods Data Base or third party content received via or in a connection with Imexgoods Service ( apart from internal purpouses of the User"s business ). 3.3. Except for the extent permitted by law, the User shall not reserve engineering, descompile, disassemble, alter or modify the whole or any part of any software which is an accessible via or in connection with Imexgoods Service. 3.4. Imexgoods.com.br, Golden Goods Service, and Imexgoods Logo are registered as trade marks and must not be reproduced for any reason. 3.5. The User shall not modify, adjust or alter any part of Imexgoods Service neither use, without permision, software to access, or still, anything which will corrupt Imexgoods Service in any way. 4. Liability 4.1. Imexgoods Research Service - The accuracy and completeness of the information collected in our Data Base depends on the cooperation of the listed companies. Although imexgoods.com.br undertakes to use all reasonable endeavours to ensure that the information is as accurate as it should be commercially possible, Imexgoods accepts no liability for the currency, usefulness or any inaccurancy of the Imexgoods Data Base. Imexgoods Search Service is available without any warranties, terms and conditions of any kind, not even those related to satisfactory quality, merchantability, fitness for its purpose or compliance with any description, or, generally, to the quality of Imexgoods Data Base or third party content whether expressed or implied, statutory or otherwise, which are hereby expressly excluded from the fullest extent permitted by law. 4.2. Golden Goods Service - It is the announcer"s own responsability to fill the product registration form. Imexgoods.com.br guarantees there will be no increase or extra fees while lasting the six-month or one-year-agreement. Cliking on this link within the site, the User might be taken to other sites and Imexgoods.com.br shall have no responsability or liability of any kind for the accuracy or content of the information provided or any other aspects of any such sites. 4.3. General - The User acknowledges that it must use its own skill and judgement when using the Imexgoods Services as well as the usage of Imexgoods Services is at its own risk. Also, if the User transfers information obtained from Imexgoods Services, it shall be its own responsability. The User bereby indemnifies Imexgoods.com.br against any loss, damage or liability whatsoever which may arise directly or indirectly from the use of the Imexgoods Data base. imexgoods.com.br shall under no circumstances be liable to the User in respect of any claim for indirect or consequential loss or demage ( including loss of profits or goodwill ), whether or not caused through negligence, relating to the Imexgoods Data Base or any other information provided as part of Imexgoods Services. imexgoods.com.br shall not be liable, and shall not otherwise be deemed to be in breach of this agreement for any of its obligations hereunder caused by circumstances beyond its reasonable control. 5. Register Fee and Security 5.1. Register Fee - The companies registered in Golden Goods Service will only have their registrations confirmed after our register of property has received the referred fees. 5.2. The User acknowledges that any information is sent at their own risk and that imexgoods.com.br shall have no liability for the security or this information while it is being transmitted. 6. Imexgoods Data Base 6.1. The personal data that the User reveals to Imexgoods.com.br when registering to access Imexgoods Services may be used for the marketing of other services provided by imexgoods.com.br as well as for updating the User on the services offered. This information may be disclosed to the franchisees for their internal information so that they may market to the User their services offered from time to time, provided that the User has not objected to such marketing or disclosure whem given the opportunity. 6.2. It is the User"s own responsability to ensure that it is complying with national laws of any state relating to the Imexgoods Data Base. 7. Equipment - The User shall be responsable for obtaining, operating and maintaining all necessary computer hardware and software, modems and telecommunication links which required to access Imexgoods Services. 8. Termination Without prejudice to any other rights or remedies, imexgoods.com.br may at any time suspend Imexgoods Service or terminate the Register License forthwith if the User is in material breach of any of its obligations under the agreement or if the User goes into bankruptacy, liquidation or administration, makes a voluntary arrangement with its creditors, becomes insolvent or has a receiver appointed. Imexgoods.com.br will under no circumstances be liable to refund all or party of any fee ( if any ) in the event of the suspension of Imexgoods Services or termination of the Register License. 9. General 9.1. Any notice given under this agreement must be in writting and delivered by hand, first class post, e-mail or facsimile to the relevant party at the address given by imexgoods.com.br on this site or the address given by the User at the registration time. 9.2. The headings in this agreement are for convenience only and shall not affect its interpretation. 9.3. Neither party shall be liable for any delay in performing its obligations if such delay is caused by any circumstances beyond its reasonable control. 10.Governing Law and Disputes - This agreement shall be governed and constructed in accordance with the laws of Brazil and Wales ( excluding laws under any conflict ) and the parties submit to the jurisdiction of the Brazilian Courts. This will not prevent Lusar Comercial Importadora e Exportadora Ltda form pursuing a claim for breach of contact, copyright infringement or otherwise in respect of this agreement, Imexgoods Search Service and Golden Goods Service in any jurisdiction throughout the world. |
